Current Practice

David's practice focuses on advising business clients and entrepreneurs on a wide range of business legal needs, including financing transactions, private offerings, venture capital, angel investment, social investing, business acquisitions, employment matters, equity compensation and general contract and business matters. Additionally, David advises investors (both local and national) investing in venture capital, private equity and debt transactions with issuers in a wide range of industries. As counsel to both issuers and investors in venture capital transactions, he provides practical advice informed by deep experience, having advised clients in hundreds of transactions in which billions of dollars have been invested. David also serves as both buy-side and sell-side counsel in small- and mid-market merger and acquisition transactions.

David often acts as a "general counsel" for businesses that are too small to justify the cost and expense of hiring a dedicated in-house counsel.

At the Moulton Law Group, David’s focus has been to provide experienced legal counsel to investors investing in seed, angel and venture capital transactions, with issuers at a wide variety of stages, in a wide range of industries.

Prior Experience

David started his legal career in 1995 at Skadden, Arps, and has worked in the venture capital sphere, in myriad roles, from 1999 to present. David joined the Moulton Law Group in 2021.

Education & Credentials

David received his undergraduate degree in Finance from St. John's University, his MBA from Columbia University Graduate School of Business, and his JD from New York University School of Law. David is also a CPA. David is admitted to practice law in New York.

Outside Interests

David lives in Fairfield County, Connecticut. In his free time, David enjoys playing guitar and songwriting. He also enjoys long-distance running and, when he's not being warned that it's dangerous by his children, riding his motorcycle.
